The Bulgarian legislation is one of the liberal legislations in Europe at present, giving the opportunity for foreign legal and physical persons to acquire real estate on the territory of the country, with one exception - one cannot acquire direct ownership of land.

There is no restriction as to apartments, houses, garages, ateliers, shops and the like, and the foreign physical and legal persons can acquire direct ownership on these objects

When the case is purchasing land on the territory of R. Bulgaria by foreigners, the above-mentioned restrictions can be avoided with the registration of a company on the territory of the country, which according to law is considered a Bulgarian legal entity and there is no restrictions for it as to acquiring ownership on land

The purchased real estate in the name of the physical or legal person, as well as the share participation in commercial companies is considered foreign investment according to the law.

Registration of a company:

Preparation of the necessary documents and registration of changes in an already registered company in the Commercial register in the respective court;

Preparing and submitting claims, requests, warrants, powers of attorney, and the like, demanded in the administrative or court procedures;

Performing all the necessary legal checks on the documents of the property: if the owner is the only proprietor of the real estate and that he has not transferred the real etstate or parts thereof to third persons, further that he did not authorize other persons for a sale, he did not conclude and sign Preliminary Contracts for this real estate as of the present moment, that no retention has been imposed on the real estate, no Contract of Rent has been entered thereon, that it is not mortgaged, not encumbered with any material rights, it is not a subject of restitution and there is no any pending lawsuit about it.

Preparing powers of attorney for buying a property in Bulgaria, preparation of deposit agreements, preliminary contracts and notary deeds to finalize the purchase of your real estate.

Our legal experts can provide assistance in the buying process. The latter covers the following steps:

Step1 : Reserve a property with a property agent.

Step2 : Determine whether the sale is with land. If the sale is with land a company needs to be incorporated to hold the land. If sale is without land no company is needed.

Step3 : Sign the preliminary contract for sale with the agent (similar to ’Sold subject to contract’ in the UK) and give 10% deposit to the agent to secure the property for you exclusively. The Euro is generally the favored currency and of course most convenient for European investors.

Step4 : If the property is already built, we do the standard checks on the property. If you’re buying a house you’d need a surveyor report. If buying land you may wish to carry out a drilling analysis of the soil and subsoil to verify the suitability to build on this land in future.

Step5 : Sign the Notary Act (Contract of purchase) in front of a Bulgarian Notary either in Bulgaria or provide our solicitors with a power of attorney to buy the property on your behalf in the name of the company. The POA can be authenticated in Bulgaria in a notary office or even when you are back in the UK in the Bulgarian embassy in London.
Please note that the final Notary Act is not signed until the building is completed in the case off plan  developments.

Step6 : We also do the registration of the purchase in the local tax department an in the statistic department /in case you buy an apartment or only a building in your name as a person/.

The relevant taxes that investors purchasing property in Bulgaria will be liable for will vary from person to person due to a number of factors including your tax domicile, the extent of your business activities in Bulgaria, the nature of the property transaction and more.
